Voltas is preparing for a major change at the top, with Noel N. Tata set to relinquish his position as Chairman and Sunil Alaric D'Souza slated to succeed him from November 12, 2026. The transition comes as Tata reaches the age of 70, triggering his retirement under the Tata Group Governance Guidelines. In an exchange filing, the company disclosed that its Board of Directors approved Tata's retirement as Chairman and Director at a meeting held on November 6. His tenure will formally conclude at the close of business hours on November 11, 2026. From the following day, he will take on the honorary role of Chairman Emeritus. The reshuffle also extends beyond the chairmanship, with Voltas announcing changes involving its managing director and other board-level appointments. D'Souza will assume the chairmanship on November 12, 2026. He is already part of Voltas' Board of Directors, making the transition an internal leadership appointment. Tata has been associated with the company for more than two decades, having joined its leadership journey in 2003. Voltas credited his contribution, strategic direction and guidance with helping the business expand, consolidate its competitive position and generate long-term value. Another important change is scheduled at the executive management level. Mukundan Menon C.P., the company's Managing Director, will conclude his current tenure on May 24, 2027. He will also retire from Voltas' services on that date under the Tata Group's retirement framework for Executive Directors. To prepare for the transition, the board has selected Jayant Balan as his successor. Balan currently leads Voltas' Room Air Conditioner Business and has received approval for appointment as an Additional Director and Managing Director for a five-year term starting May 25, 2027. The appointment remains subject to shareholder approval. Until the new role formally begins, Balan will serve as Head – Room Air Conditioner Business and Managing Director Designate, allowing for an orderly handover of responsibilities. Balan brings considerable experience within the Tata Group. He entered the group in 1999 through the Tata Administrative Service before joining Voltas in 2001. Over the years, he has handled several business-critical functions, including manufacturing, supply chain management, corporate strategy, overseas operations and consumer durables. His experience across different divisions is expected to support the company's leadership continuity as he prepares to take charge as Managing Director. His elevation also reflects Voltas' decision to draw on its existing management talent for the next phase of executive leadership. Voltas has also approved another addition to its board. Venkatesalu Palaniswamy, who currently serves as Managing Director of Trent Limited, will join Voltas as an Additional Non-Independent Non-Executive Director from November 12, 2026. The appointment will take effect alongside the changes involving Noel Tata and Sunil D'Souza. With these decisions, Voltas is undertaking a phased restructuring of its board and senior management, with the chairmanship changing in November 2026 and the managing director transition following in May 2027.
